This provides greater protection for the officers and members of the club from\u00a0<\/i><\/em><em><i>carrying unlimited liability. The process has been pursued with the assistance of our solicitors and\u00a0<\/i><\/em><em><i>with the full knowledge and support of the RYA. To complete the process the club in its present form\u00a0<\/i><\/em><em><i>will need to be dissolved and all the assets transferred to a new organisation. All of this is explained\u00a0<\/i><\/em><em><i>in a briefing to members that is attached to this letter.<\/i><\/em><\/p>\n<p><em><i>According to our club rules, and to dissolve the Club, we are required to convene a Special General\u00a0<\/i><\/em><em><i>Meeting at which at least 10% of the membership must be present. Members will be asked to\u00a0<\/i><\/em><em><i>consider the following Resolution &#8220;To make the Club a Charitable Incorporated Organisation (CIO) by\u00a0<\/i><\/em><em><i>transferring all the club&#8217;s assets and liabilities to a newly created CIO and dissolving the existing\u00a0<\/i><\/em><em><i>Club&#8221;.<\/i><\/em><\/p>\n<p><em><i>To call a Special General Meeting a vote must take place at a general meeting with at least 10\u00a0<\/i><\/em><em><i>members present. This letter is therefore official notice that the Committee is calling a General\u00a0<\/i><\/em><em><i>Meeting which will take place on Thursday the 27<\/i><\/em><em><i>th <\/i><\/em><em><i>of June at 7\u201045pm to approve the call for a\u00a0<\/i><\/em><em><i>Special General Meeting to discuss the resolution described above. The meeting will be held in the\u00a0<\/i><\/em><em><i>Clubhouse.
